Bylaws of the Excalibur Epee Club

Name:

The name of the club shall be the Excalibur Epee Club, hereinafter referred to as the club.

Purpose:

The purpose of the club is to support and promote the sport of fencing and in particular the use of the epee. The club shall also act as a liaison between its members and the provincial and national sport governing bodies and facilitate the activities of its members associated with the sport of fencing.

Affiliation:

The Club shall be a branch member of the Manitoba Fencing Association and shall conduct its business in accordance with the Bylaws and Regulations and amendments thereof of the Manitoba Fencing Association insofar as they may concern the Club.

Interpretations:

In the case of differing interpretations as to the meaning of these bylaws the boards interpretation shall prevail. These interpretations and any amendments to the presented documents that are passed by a majority vote will be recorded for future reference by club members and such changes to the bylaws will include an amendment date.

Definitions:

In this and every rule, regulation and resolution of Excalibur Epee Club unless otherwise secified or required by context,

(a)"Club", "association" and "Excalibur" means the Excalibur Epee Club.

(b)"Board" or "Board of Directors" means the properly constituted board of directors of the Excalibur Epee Club

(c)"bylaw" means a bylaw of the Excalibur Epee Club

(d)"Rules and Regulations" means the rules and regulations of the Excalibur Epee Club

(e)"General Meeting" means any meeting open to all members of the club and includes the Annual General Meeting and such Special General Meetings as may be called by the directors of the club

(f)"CFF" means the Canadian Fencing Federation

(g)"MFA" means the Manitoba Fencing Association

(h)"Sanctioned Competition" means any competition sanctioned by a recognized sport governing body affiliated with the sport of fencing

(i)"Member" means a member of the Excalibur Epee Club and includes all classes of membership created by these bylaws unless otherwise stated.

(j)"Officer" means member of the board of directors of the Excalibur Epée Club

(k)Words and phrases in the masculine gender shall be understood to include the feminine and words and phrases in the singular shall be deemed to include the plural and vice versa. Words and phrases not specifically defined in this document shall be construed so as to be consistent with the objectives stated herein.

Office Location:

The office of the club shall be in the City of Winnipeg. The residence of the Chief Financial Officer of the club shall be deemed to be the location of the club's office unless agreed otherwise by the members of the board.

Fees:

The board shall set membership fees and fees for such additional services such as conducting clinics and renting equipment upon the advice of the Chief Financial Officer.

Membership in the Excalibur Epee Club:

Advisory Membership: Coaching staff shall be considered to be advisory members of the club and as such shall be entitled to have their membership dues in the club waived. Further any provincial and national registration fees shall be paid by the club.

An advisory member may be a member of the board of directors.

General membership: 

All general members of the club are required to also register as members of the Manitoba Fencing Association and of the Canadian Fencing Federation. The individual general member is responsible for the payment of any and all fees associated with such registration.

Membership in the club shall be deemed to begin upon completion of registration forms (subject to the payment of all required registration fees within two weeks of that date)

Membership in the Club shall be deemed to extend until the announced registration date in        the month of September following last registration.

Membership may be denied or revoked according to policy.

Individual members are eligible to apply for all programs run by the Club or by the MFA should they fulfill the basic requirements for such programs.

Individual members are covered by the Liability and Accident insurance policies held by the Manitoba Fencing Association when directly involved in activities of the Club or of the Manitoba Fencing Association or any of it's member clubs.

Individual members (of age of majority) have one vote and may carry one proxy vote at Excalibur General Meetings. 

Members under the age of majority may be represented by one parent or legal guardian of the member regardless of the membership status of the parent/guardian.

Members competing in national and/or interprovincial events will compete under the banner of the Manitoba Golden Blades

Meetings:

An Annual General Meeting Shall be called in December of each year at a date and time to be set by the board

Notice shall be circulated two weeks prior to the date of meeting

Officers shall be confirmed in their positions at this time. Any Officer may be challenged from the floor at this time.

Quorum shall be considered to be 60% of the registered membership at that time

Meetings of the Board of Directors:  shall be called as required by any member of the board or of the club. All members of the board must be notified in writing (or e-mail) 3 days prior to the meeting unless all board members are present when the meeting is requested

Quorum shall be considered to be 60% of the board.

No Proxies are allowed in meetings of the board of directors.

Amending Bylaws:

These bylaws may be amended by unanimous consent of the board, to be ratified at the next Annual General Meeting.

Alternately bylaws may be amended by submission from the membership at an Annual General Meeting provided that the proposed amendment is submitted to the board prior to November 15th. Such amendments would require a 2/3 majority vote to be accepted.

Finance and Management:

The physical year of the club shall end on the last day of June.

The Chief Financial Officer shall be the sole signing authority for the club.

The Excalibur Epee Club is NOT permitted to borrow funds.

The acquisition of real property is limited to equipment and materials directly used in the pursuit of the sport of fencing and the maintenance of same.

Posting of bylaws:

These bylaws will be posted on the Club website and filed with the MFA.

Disolution of the Club:

In the event of the dissolution of the club all assets of the club shall be donated to the Manitoba Fencing Association subject to the payment of any outstanding debts or encumbrances.
